Terms and Conditions

1. Introduction

Welcome to FujiCommerce. These Terms and Conditions ("Terms") govern access to and use of the FujiCommerce website, platform, and related services ("Platform").

By accessing or using FujiCommerce, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Nature of Service

FujiCommerce Ltd is an e-commerce enablement platform that:

• Enables Sellers to list and sell products.
• Facilitates payment processing through Paystack.
• Provides payment processing, checkout links, product management, analytics, and payouts.
• Does NOT own, store, or handle products.

3. Eligibility

To use FujiCommerce, you must:

• Be 18 years or older
• Be authorized to conduct business in Nigeria
• Not have outstanding legal disputes with FujiCommerce
• Comply with all applicable Nigerian laws

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials. All activities under your account are your responsibility, and you agree to notify us immediately of any unauthorized access.

5. Seller Tiers & Commission

FujiCommerce charges commissions based on three tiers:

• Starter: 7% revenue share
• Growth: 5.5% revenue share + ₦3,500 monthly fee
• Pro: 4.5% revenue share + ₦5,999 monthly fee

These rates may be updated with 30 days' notice.

6. Payments & Payouts

• Payments are processed via Paystack.
• Sellers receive payouts within 24 hours of transaction completion.
• Disputed transactions will be investigated before payout.
• FujiCommerce is not liable for delays caused by Paystack or financial institutions.

7. Logistics

FujiCommerce does not provide logistics services directly. Sellers are responsible for arranging delivery or partnering with logistics providers. FujiCommerce may provide logistics partner recommendations, but is not liable for delivery failures.

8. Seller Responsibilities

Sellers agree to:

• Provide accurate product information
• Deliver products as described
• Comply with consumer protection laws
• Not engage in fraudulent or deceptive practices
• Maintain appropriate insurance and business registration

9. Refunds & Disputes

Refund policies are determined by individual sellers. FujiCommerce facilitates dispute resolution but is not responsible for enforcing refunds. Chargebacks will result in account penalties or suspension.

10. Prohibited Use

Users must NOT:

• Sell counterfeit or stolen goods
• Engage in fraud or money laundering
• Violate intellectual property rights
• Harass or threaten other users
• Attempt to hack or disrupt the platform

11. Limitation of Liability

FujiCommerce provides the platform "as is" without warranties. We are not liable for:

• Loss of revenue or profits
• Third-party actions (logistics, payment processors)
• Data breaches beyond our reasonable control
• Platform downtime (except where caused by gross negligence)

12. Intellectual Property

All content, trademarks, and software on FujiCommerce are owned by FujiCommerce Ltd. Users may not reproduce, distribute, or sell any platform IP without written permission.

13. Termination

FujiCommerce may suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent behavior
• Violate applicable laws
• Accumulate excessive chargebacks

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved through arbitration or mediation as per Nigerian law.
